Welcome to thghluniversity.com (the “Website”). These Terms of Use (the “Terms”) are a legal agreement between you (the “Client”, “you”, “your”) and GHL University (Daly Media D.A.S LTD) (the “Company”, “we”, “us”, “our”). These Terms govern your access to and use of the Website and any products, materials, training, community, software configurations, systems, automations, AI tools, templates, and services we provide (collectively, the “Services”).

If you do not agree to these Terms, you must not use the Services.

1. Acceptance of These Terms

1.1 Acceptance Through Use

By accessing or using the Services (including by purchasing, registering, logging in, or clicking “accept” or “agree”), you confirm that you have read, understood, and agree to be bound by these Terms.

1.2 Authority

If you are using the Services on behalf of a company or other entity, you confirm you have the authority to bind that entity to these Terms.

1.3 Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Website and will apply from the date posted. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

2. Eligibility

To use the Services, you must be at least 18 years old. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian.

3. Access to the Services

3.1 Accounts and Registration

You may be required to create an account and provide accurate, current information. You agree to keep your information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login details and for all activity under your account. You must notify us promptly if you suspect unauthorised access or use.

3.3 Changes to the Services

We may modify, suspend, withdraw, or discontinue any part of the Services at any time. We will try to provide reasonable notice where practical, but you accept that some changes may occur without notice.

4. Services, Subscriptions and Purchases

4.1 What We Provide

The Services may include (by way of example): platform system set-up, AI system integrations, training resources, frameworks, templates, community access (including Slack or similar), and support channels.

4.2 Ordering and Checkout

Where the Services are purchased, the full details of what is included (and any fees, taxes, and applicable charges) will be shown at the point of checkout, invoice, or order confirmation. By completing a purchase, you agree to pay the amounts presented in that process.

4.3 Subscriptions and Auto-Renewal

If you purchase a subscription, it will renew automatically at the end of each billing cycle unless cancelled in accordance with Section 9. If your payment method fails, your access may be suspended until payment is successfully processed.

4.4 Add-Ons and Upgrades

We may offer optional add-ons or upgrades. Add-ons and upgrade terms will be presented at the time you purchase or activate them.

4.5 No Rights Until Payment Received

Where applicable, you do not receive access or usage rights to paid Services until payment is received and successfully processed.

5. Reasonable Use Policy

To maintain quality and availability for all clients, certain Services (including any “unlimited” or high-usage features) are subject to a Reasonable Use Policy.

We may, at our discretion, take steps if your usage is excessive, abusive, or materially impacts service performance, including: rate limiting, requiring an alternative plan, applying additional charges, restricting features, or suspending/terminating access.

6. AI Features

6.1 Definitions

AI Features: Any functionality that uses machine learning, generative AI, natural language, speech/voice, vision, automation, or decisioning to generate, transform, analyse, classify, summarise, or route content or communications.

AI Inputs: Any content, prompts, files, audio, data, or materials you submit (or submit through users under your account) into AI Features.

AI Outputs: Any content or results produced by AI Features.

6.2 AI Feature Availability

AI Features may be modified, rate limited, restricted, or discontinued at any time. Some AI Features may rely on third-party vendors and subprocessors.

6.3 Your Responsibilities When Using AI

You agree that you will:

comply with all applicable laws and industry rules (including privacy, consumer protection, marketing and communications rules)

only submit AI Inputs that you have the right to use and that were collected/shared lawfully

not use AI Features for prohibited content or unlawful activity (see Section 8)

apply appropriate human review before relying on AI Outputs (AI may be inaccurate, incomplete, or biased)

make any disclosures required by law or platform rules (e.g., if users are interacting with AI voice/chat)

6.4 No Professional Advice

AI Outputs and training materials are for general information and operational support only and are not a substitute for professional advice (legal, tax, medical, financial, or regulated advice). You are responsible for obtaining appropriate professional review where required.

7. Intellectual Property and Licence

7.1 Ownership

All content and materials we provide (including videos, training, templates, automations, workflows, frameworks, copy, designs, and system assets) are owned by the Company or its licensors and are protected by intellectual property laws.

7.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your internal business use and, where expressly permitted, for implementation for your own clients.

7.3 Restrictions

You must not, without our prior written permission:

share or sell login credentials

reproduce, redistribute, republish, or resell our materials

copy, scrape, reverse engineer, decompile, or attempt to derive source methods from the Services

create derivative works or competing products/services using our materials

remove proprietary notices or branding

We may terminate access immediately for violations.

8. Acceptable Use

You agree not to use the Services to:

violate any law or regulation

send spam, phishing, or unsolicited communications in breach of applicable rules

impersonate others or misrepresent affiliation

upload malware or attempt to disrupt systems

harvest data about other users without consent

generate or distribute fake reviews, deceptive content, or unlawful marketing practices

interfere with or overload our infrastructure or networks

use the Services in a way that is competitive with the Company or to build a competing offering using our content

9. Cancellation and Termination

9.1 Your Right to Cancel

You may request cancellation/termination with 30 days’ written notice, unless your specific order terms state otherwise.

9.2 Mandatory Offboarding Steps (Required)

To initiate termination or request cancellation, you must complete all of the following:

Written Notice
You must provide written notice stating your intention to cancel and the reason for termination.

Mandatory Exit Interview Call
You must complete an exit interview call with the GHLU management team. This call is required to:

review implementation and delivery status

assess any guarantee/refund eligibility

determine appropriate offboarding steps and timelines

Official Cancellation Form
After the exit interview call, you must submit our official cancellation form to confirm termination.

Important: Termination/cancellation will not be processed until all three steps are completed.

9.3 Our Right to Suspend or Terminate

We may suspend or terminate your access immediately if you breach these Terms, misuse the Services, fail to pay amounts due, or create risk or harm to the Company, our clients, platforms, or partners.

9.4 Effect of Termination

Upon termination, your right to access the Services will cease. Sections intended to survive termination (including IP, disclaimers, limitation of liability, and indemnities) will remain in force.

10. Refund Policy and Guarantees

Except where a guarantee is explicitly triggered and its conditions are met, all sales are final and no refunds will be issued.

Because the Services may include digital access, system assets, and credentials, you acknowledge that delivery can occur quickly and may be difficult to reverse.

10.1 Installation/Delivery Guarantee

If we fail to install the agreed system within the timeline stated in your order terms (or agreed in writing), you may be eligible for a refund only if:

the delay is attributable to the Company, and

you provided all required onboarding information, access, assets, approvals, and credentials on time, and

the delay was not caused by third-party platforms, compliance checks, external dependencies, or your actions/inaction.

If any delay is attributable to you or third parties, the guarantee does not apply.

11. Disclaimers

The Services are provided on an “as is” and “as available” basis. We do not guarantee any specific results, revenue outcomes, performance improvements, or business success.

We do not warrant that the Services will be uninterrupted, error free, or free of harmful components.

AI Features disclaimer: AI Outputs may be inaccurate, incomplete, biased, or not fit for your specific purpose. You are responsible for review and compliance.

12. Limitation of Liability

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or anticipated savings arising out of or related to your use of (or inability to use) the Services.

Where liability cannot be excluded, it will be limited to the minimum extent permitted by applicable law.

13. Indemnity

You agree to indemnify and hold harmless the Company (and its directors, officers, employees, contractors, and affiliates) from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

your breach of these Terms

your misuse of the Services

your AI Inputs/Outputs and any publications, disclosures, or communications you generate using the Services

your violation of any law, regulation, or third-party rights

14. Communications and SMS Terms

If you opt in to SMS communications, you can opt out by texting “STOP”. For help, text “HELP” or contact us using the details in Section 16. Message and data rates may apply. Message frequency varies.

15. Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you agree to our Privacy Policy.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services, except where applicable law requires otherwise.
